Terms of Service

1. Introduction

These Terms of Service (the “Terms”) govern your use of the Giin loyalty platform (the “Service”), which is provided by Owens Enterprises LLC (“Giin”, “we”, “us”, or “our”). The Service includes our customer-facing application, website, and any related features that link to these Terms.

By using the Service -- for example, by signing in at a participating venue using a phone number and/or email address -- you confirm that you have read, understood, and agreed to these Terms. If you do not agree to these Terms, do not use the Service.

These Terms work alongside our Privacy Policy, which describes how we handle your personal data. The Privacy Policy is incorporated into these Terms by reference.

2. Who can use the Service

To use the Service, you must:

Participating venues may serve alcohol or offer products or services that are subject to legal age restrictions in the country where the venue operates -- for example, alcohol, tobacco, gaming, or gambling. Use of the Service is permitted from age 18, but participation in age-restricted activities at a venue is subject to the age requirements that apply to that venue under local law. Venues are responsible for verifying customer age at the point of service for any age-restricted activity, and Giin is not responsible for venues' compliance with those requirements.

You may not create or use an account on behalf of another person without their permission, and you may not impersonate any person or misrepresent your identity.

3. How the Service works

The Service is a digital loyalty platform that connects customers (you) with participating bars, restaurants, and other venues. When you scan a QR code at a participating venue and sign in with your phone number and/or email address, you can complete simple tasks the venue has set, and earn rewards that are redeemable on a return visit.

Rewards are issued by individual venues but managed within the Service. To redeem a reward, you visit the venue during the redemption window shown in the Service, and present your reward QR code to staff.

The specific tasks offered, the rewards available, the redemption windows, and the terms of any individual reward are determined by the venue. We do not control these -- venues choose what they offer their customers, within the constraints of these Terms and our agreement with the venue.

The Service is provided to you free of charge. Venues pay Giin a separate subscription for using the platform, but this has no cost or obligation to you.

4. Your account

Your account in the Service is identified by your phone number and/or email address. You confirm ownership of the phone number and/or email address through a one-time password (OTP) sent to that number and/or email address.

You are responsible for the security of the phone number and/or email address associated with your account. If you lose access to your phone number and/or email address -- for example, if you change carriers or numbers -- you may lose access to your Giin account and any active rewards. We recommend redeeming any active rewards before changing your number or email address.

If you suspect that someone else is using your phone number and/or email address to access your Giin account, please contact us promptly so we can investigate and take appropriate action.

You may have only one account linked to you as the individual through your phone number and/or email address. Creating multiple accounts to claim multiple rewards from the same task, or otherwise circumvent the design of the Service, is a violation of these Terms and may result in suspension or termination of your accounts.

Mobile phone numbers are sometimes reassigned by carriers after extended inactivity. If we have reasonable cause to believe a phone number has been reassigned to a new owner, we may reset or close the existing Giin account associated with that number to protect the privacy of the new number-holder.

When using the Service, you agree not to:

If you violate these rules, we may suspend or terminate your account, void any active rewards, and take any other action we believe is appropriate, including reporting violations to law enforcement where applicable.

6. Rewards and tasks

6.1 How rewards are earned and redeemed

To earn a reward, you complete a task selected by the venue. After completing the task, you confirm completion in the Service, and the venue's staff verifies and activates the reward. The reward then becomes redeemable during a window of time set by the venue. You redeem the reward by visiting the venue during that window and presenting your reward QR code to staff.

In order for task completion to lead to reward activation, you should present a completed task to venue staff for validation within 24 hours of completing it, unless otherwise explicitly stated on the task card. Task completions presented for validation within this window will be reviewed by venue staff and, if confirmed, the reward will be activated. Task completions presented for validation after 24 hours are handled at the venue's discretion and may or may not be honored.

Each reward is single-use. Once redeemed, it cannot be redeemed again.

6.2 Tasks set by venues

Tasks are set by individual venues. Examples include sharing a story on social media, ordering a specific item, or making a prediction about a sporting event. The specific tasks available at any venue are at the venue's discretion, within the constraints of these Terms.

You are not required to complete any task to use the Service. Choosing to complete a task is voluntary, and you do so in exchange for the corresponding reward.

If a task involves a third-party platform (for example, posting on social media), your interaction with that platform is governed by that platform's own terms.

6.3 Reward expiration and unredeemed rewards

Rewards have a redemption window set by the venue. If you do not redeem a reward within its window, the reward expires and cannot be redeemed.

Rewards have no cash value, are not transferable, and are not exchangeable for other rewards or for currency.

6.4 Venue refusal to honor a reward

In the unlikely event that a venue refuses to honor an active reward, please contact us. We will investigate and, where appropriate, may issue you a replacement reward or take other action with the venue.

6.5 Service messages about your rewards

To support your use of the Service, we may send messages to the phone number and/or email address associated with your account. These messages may include confirmations when you connect with or begin participating with a venue through the Service, confirmations when you earn or redeem a reward, notifications when a reward becomes active, reminders before a reward expires, account activity notifications, and other operational communications related to your account, rewards, or use of the Service.

By creating an account or providing your contact information, you consent to receive these communications in connection with your use of the Service.

These communications are separate from promotional or marketing messages that a participating venue may send under any separate consent you provide directly to that venue.

Service-related messages may be sent by email or SMS. Standard messaging and data rates from your mobile carrier may apply.

You may opt out of non-essential reward-related service messages at any time through the Service or by contacting us. If you opt out, you may miss notifications about active or expiring rewards, and you accept responsibility for monitoring your rewards through the Service.

Certain communications necessary for authentication, account security, or access to the Service, including one-time passwords and login verification codes, are not affected by this opt-out because they are only sent in response to your direct actions or requests.

7. Interactions with venues

Giin provides a platform that connects you with participating venues. Venues are independent businesses, not employees, agents, or partners of Giin in any legal sense. Your relationship with each venue -- including your visit to the venue, the products and services you purchase there, and any interaction with venue staff -- is between you and the venue.

Giin is not responsible for:

Each participating venue is solely responsible for ensuring that the operation of its business, and its use of the Service, is in compliance with all laws, regulations, licensing requirements, and regulatory obligations applicable in the jurisdiction where the venue operates, including any national, state, provincial, municipal, or local requirements.

This includes, where relevant to the venue, laws relating to alcohol, tobacco, gambling, gaming, contests, promotions, rewards, food safety, health and safety, taxation, consumer protection, privacy, and any other regulated products, services, or activities offered by the venue.

Venues are solely responsible for ensuring that any task, game, promotion, contest, prediction feature, or reward configured through the Service complies with applicable law.

Giin does not control, supervise, verify, or provide legal advice regarding a venue's compliance obligations and is not responsible for any failure by a venue to comply with applicable laws or regulations.

If you have a complaint about a venue, please raise it with the venue first. If the issue relates to the Service itself or to how a venue is using the Service, please also contact us so we can investigate.

8. Intellectual property

The Service -- including its software, design, logos, branding, content, and underlying technology -- is owned by Giin or its licensors and is protected by intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, in accordance with these Terms. This license ends when your use of the Service ends, or if you violate these Terms.

You may not copy, modify, distribute, sell, or create derivative works based on the Service or any part of it, except as expressly allowed by these Terms or as permitted by applicable law.

You retain ownership of any content you create on third-party platforms in connection with a Giin task -- for example, an Instagram post you share for a task. Giin does not claim ownership of that content. However, by completing the task, you confirm that the venue and Giin may reference the fact that the task was completed (without copying or republishing the underlying content).

9. Changes to the Service

We are continuously improving the Service. We may, at any time and without prior notice, add features, remove features, change how the Service works, or discontinue the Service entirely. We will try to give reasonable notice of significant changes, especially changes that may affect your active rewards or your ability to use the Service.

If we discontinue the Service, we will give reasonable notice and a reasonable period to redeem any active rewards. After that period, unredeemed rewards may be voided.

These Terms may also change from time to time. For non-material changes, your continued use of the Service after we notify you indicates your agreement. For material changes -- including any change to how we collect, use, or share your personal data -- we will ask for your renewed consent within the Service before applying the change to your account. If you do not consent to a material change, you may stop using the Service and request deletion of your data.

10. Suspension and termination

10.1 Termination by you

You may stop using the Service and request deletion of your account at any time, through the Service or by contacting us. Deleting your account will void any active rewards you have not redeemed; we recommend redeeming any active rewards before deleting.

10.2 Suspension or termination by us

We may suspend or terminate your access to the Service if:

Where reasonable, we will give you notice before suspending or terminating your account. In cases of suspected fraud, abuse, or legal risk, we may act first and notify you afterwards.

If we terminate your account for violating these Terms, any active rewards may be voided. If we terminate your account for other reasons (for example, discontinuing the Service), we will give reasonable notice and a reasonable period to redeem active rewards.

10.3 Effect of termination

After termination, your right to use the Service ends immediately. Provisions of these Terms that by their nature should survive termination -- including liability limits, intellectual property terms, and dispute resolution -- will survive.

11. Warranties and disclaimers

The Service is provided on an “as is” and “as available” basis. Giin does not guarantee that the Service will always be available, error-free, secure, or uninterrupted, or that any defects will be corrected. We work hard to keep the Service running well, but we cannot promise perfection.

To the maximum extent permitted by applicable law, Giin disclaims all warranties -- express or implied -- including warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties about the conduct or offerings of any venue.

Nothing in this section limits any rights you may have under applicable consumer protection law. Where the law gives you rights that cannot be excluded or limited by contract, those rights apply notwithstanding anything in these Terms.

12. Limitation of liability

To the maximum extent permitted by applicable law, Giin's total liability to you for any and all claims arising from or related to the Service is limited to the greater of (a) the amount you have paid to Giin in the twelve months before the claim arose (which, since the Service is free to you, is generally zero), or (b) USD 150 (or its equivalent in your local currency at the prevailing exchange rate on the date the claim is made).

Giin is not liable for indirect, incidental, special, consequential, or punitive damages -- including lost profits, lost data, lost goodwill, or business interruption -- arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

These limits apply regardless of the legal theory under which a claim is brought (contract, tort, statute, or otherwise), and they apply to the fullest extent permitted by law. Where applicable consumer protection law does not allow these limits, they apply to the maximum extent permitted by that law.

Specifically, Giin is not liable for any injury, illness, loss, or damage arising from your visit to a venue, the food or drink you consume there, or the conduct of venue staff or other patrons. Your relationship with the venue is between you and the venue.

13. Your responsibility for your conduct

You agree to take responsibility for your own conduct when using the Service. If a third party -- including a venue or another user -- brings a claim against Giin because of something you have done in violation of these Terms or applicable law, you agree to cooperate with us in defending against that claim, and to be responsible for any reasonable costs and damages that result from your conduct.

This is not intended to make you responsible for the ordinary use of the Service. It applies only when your conduct has violated these Terms or applicable law and has caused a third party to bring a claim.

14. Governing law and dispute resolution

These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Giin, are governed by the laws of the State of Wyoming, United States of America, without regard to conflict-of-laws principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in Wyoming, United States of America, and you irrevocably consent to the personal jurisdiction and venue of those courts.

To the fullest extent permitted by applicable law, you waive any objection to the exercise of jurisdiction by those courts, including any claim that such courts constitute an inconvenient forum.

Before filing a formal legal claim, you agree to first contact us using the contact information provided below and make a good faith effort to resolve the dispute informally. We likewise agree to engage in good faith efforts to resolve disputes before formal proceedings are initiated.

Nothing in these Terms limits any non-waivable rights you may have under applicable consumer protection, privacy, or data protection laws.

15. General terms

15.1 Entire agreement

These Terms, together with the Privacy Policy and any other terms expressly incorporated, are the entire agreement between you and Giin regarding the Service, and supersede any prior agreements between us on the same subject matter.

15.2 No waiver

If we do not enforce a particular provision of these Terms in a specific situation, that does not waive our right to enforce it later or in other situations.

15.3 Severability

If any provision of these Terms is found to be unenforceable, the rest of the Terms remain in effect. The unenforceable provision will be replaced -- to the extent possible -- with an enforceable provision that comes closest to the intent of the original.

15.4 Assignment

You may not transfer or assign your rights under these Terms without our prior written consent. We may assign these Terms -- for example, in the event of a merger, acquisition, or sale of company assets -- and your continued use of the Service after such an assignment indicates your agreement.

15.5 No agency or partnership

Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between you and Giin.

15.6 Force majeure

Neither party is liable for delays or failures to perform that result from causes outside reasonable control -- including natural disasters, war, civil unrest, government action, network failures, or pandemic-related disruptions.
